1. Acceptance of Terms
By accessing or using GDigital's platform and services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. These terms govern the relationship between GDigital ("The Agency") and you ("The Client").
2. Description of Services
GDigital provides a comprehensive suite of digital solutions including but not limited to: Web Development, Mobile Applications, UI/UX Design, Cloud Infrastructure, and Digital Strategy. Specific project scopes are defined in separate Service Level Agreements (SLAs).
3. Intellectual Property
All proprietary software, original designs, and strategic frameworks developed by GDigital remain the intellectual property of the agency unless explicitly transferred in writing upon final payment receipt.4. Payment Terms
- Invoices are issued monthly or per milestone.
- Net-15 payment terms apply to all digital services.
- Late payments may incur a 1.5% monthly surcharge.
5. Confidentiality
Both parties agree to maintain the strict confidentiality of all proprietary information shared during the engagement. This includes trade secrets, client data, and pricing structures. This obligation extends for 24 months post-contract termination.
6. Limitation of Liability
GDigital is not liable for indirect, incidental, or consequential damages resulting from service interruptions or data loss beyond our direct infrastructural control.
7. Termination
Engagement may be terminated by either party with 30 days written notice. All pending milestones must be settled before the final handover.
8. Governing Law
These terms are governed by the laws of the jurisdiction in which GDigital is registered. Any disputes shall be resolved in the local courts.
9. Amendments
We reserve the right to modify these terms at any time. Significant changes will be communicated via email or dashboard notification 14 days prior to implementation.
User Notice
Continued use of the platform after updates constitutes acceptance of new terms.
10. Data Privacy
Your data privacy is governed by our Privacy Policy, which is incorporated into these terms by reference. We comply with GDPR and local data protection regulations.
